- Preamble
- These Terms and Conditions (the "Terms") govern your access to and use of the Caballero Offices Sytem (the "Platform"), which is owned and operated by Caballero Offices ("Company"). The Platform provides a secure environment for users to manage their notary and tax information. By accessing or using the Platform, you agree to be bound by these Terms.
- 1. User Registration
- To access certain features of the Platform, you may be required to register as a user and create an account. When registering, you must provide accurate and complete information about yourself. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify Company immediately of any unauthorized use of your account.
- 2. Use of the Platform
- You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform to:
- Access, collect, or store personal information about others without their consent.
- Transmit any unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable content.
- Interfere with or disrupt the Platform or servers or networks connected to the Platform.
- Attempt to gain unauthorized access to the Platform or any portion of the Platform.
- Use any device, software, or routine that interferes with the proper working of the Platform.
- Upload or transmit files that contain viruses, Trojan horses, worms, time bombs, cancelbots, or other harmful code.
- 3. User Data
- You agree to grant Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and display any User Data (as defined below) that you submit to the Platform. User Data means any data or information that you submit to the Platform, including but not limited to your name, email address, and any other personal information. You represent and warrant that you have the right to grant this license to Company.
- 4. Confidentiality
- Company will use its commercially reasonable efforts to protect the confidentiality of User Data. However, you acknowledge and agree that no method of transmission over the Internet or method of electronic storage is 100% secure, and Company cannot guarantee the absolute security of User Data.
- 5. Intellectual Property
- The Platform and all content and materials included on the Platform (the "Content") are the property of Company or its licensors and are protected by copyright, trademark, and other intellectual property laws. You agree not to copy, reproduce, modify, distribute, transmit, display, perform, create derivative works from, or otherwise exploit any Content without the prior written permission of Company or its licensors.
- 6. Disclaimer of Warranties
- THE PLATFORM AND CONTENT ARE PROVIDED "AS IS" AND WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPANY MAKES NO WARRANTY THAT THE PLATFORM OR CONTENT WILL MEET YOUR REQUIREMENTS OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE. COMPANY WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE PLATFORM OR CONTENT, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- 7. Limitation of Liability
- IN NO EVENT SHALL COMPANY'S TOTAL LIABILITY UNDER THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO COMPANY FOR THE USE OF THE PLATFORM AND (B) $100.
- 8. Indemnification
- You agree to indemnify, defend, and hold harmless Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform or your violation of these Terms.
- 9. Governing Law
- These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively by the courts of the State of California.
- 10. Entire Agreement
- These Terms constitute the entire agreement between you and Company with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
- 11. Amendment
- Company may amend these Terms at any time by posting the amended Terms on the Platform. You are responsible for reviewing the Terms regularly and agreeing to the amended Terms as a condition of your
